These Terms of Service (“Terms”) govern your access to and use of our website (www.alignwithsp.com), mobile application (if applicable), and any related services, content, features, or functionality (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Services Overview

Aligned Strategy Partners, LLC is an AI-enabled strategy consulting firm that provides executive-grade consulting services, including but not limited to:

• AI alignment assessments
• Strategy development and planning
• 90-day strategy sprints
• Custom AI solution development
• Workflow automation consulting
• AI enablement training
• Strategic partnerships and ongoing support

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

2. AI-Powered Customer Service

Aligned Strategy Partners utilizes AI-powered virtual assistants to handle initial customer inquiries via phone, chat, and other communication channels. These AI assistants are designed to provide efficient service and connect you with our human team members when appropriate.

2.1 AI Identification and Transparency

Our AI assistants will identify themselves as AI-powered at the beginning of interactions. We believe in transparency about the use of AI technology in our customer service operations.

2.2 Access to Human Support

You may request to speak with a human team member at any time during your interaction with our AI assistant. We will promptly transfer you to an available consultant or team member upon request.

2.3 AI Capabilities and Limitations

Our AI assistants are designed to:

• Answer general questions about our services
• Collect contact information for follow-up
• Schedule appointments and consultations
• Provide basic information and route inquiries appropriately

AI assistants may have limitations in handling complex or nuanced inquiries. In such cases, they will connect you with a human team member for personalized assistance.

2.4 Data Collection and Privacy

Information collected during AI-assisted interactions is subject to our Privacy Policy. We use this information to provide services, improve our AI capabilities, and ensure quality customer service.

3. SMS and Text Messaging Terms

3.1 Consent to Receive Messages

By providing your mobile phone number and opting in to our SMS program, you expressly consent to receive automated text messages from Aligned Strategy Partners, LLC. These messages may include:

• Appointment confirmations and scheduling notifications
• Follow-up messages related to strategy engagements, consultations, or demos
• Service updates related to active projects or our RoadmapIQ platform
• Customer support and operational communications
• Account-related notifications initiated by recipient interaction
• Limited promotional content related to our services

3.2 Message Frequency

Message frequency varies based on your engagement with our services and may range from occasional to several messages per week during active projects. You will never receive unsolicited mass marketing or promotional messages.

3.3 Message and Data Rates

Standard message and data rates may apply based on your mobile carrier’s plan. Please contact your mobile carrier for details about your specific plan.

3.4 Opting Out

You may opt out of receiving text messages at any time by:

• Replying STOP to any text message from us
• Contacting us at the information provided in Section 22

After you opt out, you will receive one final confirmation message. Please note that opting out of SMS messages does not affect other forms of communication, such as email or phone calls related to services you have engaged.

3.5 Help and Support

For assistance with our SMS program, reply HELP to any message or contact us using the information in Section 22.

3.6 Supported Carriers

Our SMS program is supported by major U.S. carriers. Please contact us if you experience any issues receiving messages.

3.7 No Mobile Information Sharing

We do not sell, rent, lease, or share your mobile phone number or SMS data with third parties for their marketing purposes. See our Privacy Policy for complete details on how we handle your information.

3.8 Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages. Message delivery may be affected by network conditions, device compatibility, or carrier limitations. We are not responsible for issues arising from your mobile carrier’s service, including but not limited to:

• Message delays or failures
• Carrier network outages
• Device compatibility issues
• Carrier filtering or blocking of messages

For carrier-related issues, please contact your mobile service provider directly.

3.9 Age Restriction

Our SMS messaging program is intended for users who are 18 years of age or older. By opting in to receive text messages, you confirm that you are at least 18 years old. If you are under 18, you may not participate in our SMS program.

If we discover that a person under 18 has opted in to our SMS program, we will promptly remove them from our messaging list.

4. Mobile Application Terms

4.1 App License and Restrictions

License Grant:
Subject to your compliance with these Terms, Aligned Strategy Partners, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our mobile application (the “App”) on a mobile device that you own or control.

Restrictions:
You agree NOT to:

• Modify, adapt, translate, or create derivative works of the App
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Remove, obscure, or alter any proprietary notices (copyright, trademark, etc.)
• Use the App in any way that violates applicable laws or regulations
• Rent, lease, lend, sell, redistribute, or sublicense the App
• Use the App to send automated queries or spam
• Attempt to gain unauthorized access to any portion of the App or related systems
• Use the App to upload or transmit viruses, malware, or malicious code
• Use the App for benchmarking or competitive analysis
• Frame or mirror any part of the App without our express written permission

4.2 App Store Terms

Apple App Store:
If you download the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Aligned Strategy Partners, LLC, not Apple
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for any product warranties, whether express or implied
• Apple is not responsible for addressing any claims by you or third parties relating to the App
• Apple is not responsible for investigation, defense, settlement, or discharge of any third-party claim that the App infringes intellectual property rights
• You must comply with applicable third-party terms when using the App (e.g., wireless data service agreement)
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce these Terms against you
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and you are not on any U.S. Government list of prohibited or restricted parties

Google Play Store:
If you download the App from Google Play, you agree to comply with the current Google Play Terms of Service, available at: https://play.google.com/about/play-terms/

4.3 Updates and Maintenance

Automatic Updates:
The App may download and install updates automatically. These updates may include:

• Security patches and bug fixes
• New features and functionality improvements
• Performance optimizations
• Changes to comply with legal requirements

You can manage automatic updates through your device settings, but disabling updates may affect app functionality and security.

Maintenance:
We may perform scheduled or emergency maintenance that temporarily makes the App unavailable. We will attempt to provide advance notice of scheduled maintenance when possible.

4.4 App Permissions

The App may request access to certain features and data on your device, including but not limited to:

• Camera and photo library
• Notifications
• Location services
• Contacts
• Microphone
• Storage

You can manage these permissions through your device settings. Denying certain permissions may limit app functionality. See our Privacy Policy for details on how we use permission-based data.

4.5 Device Requirements

Minimum Requirements:

• iOS 14.0 or later (for iPhone/iPad)
• Android 8.0 (API level 26) or later
• Stable internet connection (Wi-Fi or cellular data)
• Sufficient device storage space

We do not guarantee the App will function on devices that do not meet these requirements or on jailbroken/rooted devices.

4.6 Push Notifications

Consent:
By enabling push notifications, you consent to receive alerts, messages, and updates from us. Notifications may include:

• Appointment reminders
• New messages or updates
• Service announcements
• Promotional offers (if you opt in)

Managing Notifications:
You can disable push notifications at any time through:

• Your device settings (Settings > Notifications > [App Name])
• The App’s settings menu

Disabling notifications does not affect your SMS consent or email preferences, which are managed separately.

4.7 User-Generated Content

Your Content:
You retain ownership of any content you create, upload, or transmit through the App (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to provide and improve our Services.

Content Guidelines:
You agree not to upload or transmit:

• Illegal, fraudulent, or misleading content
• Content that infringes intellectual property rights
• Harmful, threatening, abusive, or harassing content
• Sexually explicit or pornographic content
• Spam or unsolicited promotional material
• Viruses, malware, or malicious code

Content Removal:
We reserve the right to remove any User Content that violates these Terms without prior notice.

4.8 App Availability and Geographic Restrictions

Availability:
The App may not be available in all countries or regions. We reserve the right to limit app availability based on:

• Geographic location
• Local laws and regulations
• Technical or business considerations

Export Controls:
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and you are not on any U.S. Government list of prohibited or restricted parties.

4.9 App Termination and Suspension

By You:
You may stop using the App at any time by:

• Uninstalling it from your device
• Requesting account deletion via [email protected]

Uninstalling the App does not automatically delete your account or data from our servers.

By Us:
We may suspend or terminate your access to the App if:

• You violate these Terms
• We discontinue the App or any features
• Required by law or legal process
• Your account shows signs of fraudulent or abusive activity

Effect of Termination:
Upon termination:

• Your license to use the App ends immediately
• You must delete the App from all your devices
• We may delete your data subject to our retention policies
• Certain provisions of these Terms survive termination

4.10 App Disclaimers

As-Is Basis:
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT:

• The App will be uninterrupted, secure, or error-free
• The App will be compatible with all devices or operating systems
• Defects will be corrected
• The App is free from viruses or harmful components

Third-Party Components:
The App may incorporate or link to third-party software, content, or services. We are not responsible for third-party components and do not endorse or guarantee their functionality, security, or accuracy.

Network Connectivity:
App functionality depends on network connectivity. We are not responsible for issues arising from:

• Poor internet connection
• Network outages
• Carrier restrictions or limitations
• Data usage charges from your carrier

5. Account Registration and Access

Certain features of our Services may require you to create an account or provide information. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services to transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use automated systems (bots, scrapers) to access our Services without permission
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest information about other users without consent
• Use our Services to spam, phish, or engage in fraudulent activities

7. Intellectual Property Rights

7.1 Our Property

All content, features, functionality, trademarks, service marks, logos, and trade names displayed on our website and in our Services, including but not limited to the RoadmapIQ.ai platform, are the exclusive property of Aligned Strategy Partners, LLC or our licensors. This includes:

• Text, graphics, logos, images, and software
• Design, layout, and look-and-feel of our website
• Proprietary methodologies, frameworks, and tools
• All intellectual property rights therein

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without our express written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes, subject to these Terms.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

8. Client Engagements and Consulting Services

8.1 Consulting Agreements

Specific consulting services will be governed by separate written agreements, statements of work, or engagement letters between you and Aligned Strategy Partners, LLC. In the event of any conflict between these Terms and a separate written agreement, the separate agreement will control with respect to those specific services.

8.2 Professional Services

Our consulting services are provided on a professional basis. We will use reasonable skill and care in providing our services, but we do not guarantee specific outcomes or results.

8.3 Client Responsibilities

You acknowledge that successful consulting engagements require your active participation, timely provision of information, and cooperation. Delays or failures resulting from your lack of cooperation are not our responsibility.

9. Payment Terms

If you purchase services from us:

• Payment terms will be specified in your engagement agreement or invoice
• All fees are due as specified and are non-refundable unless otherwise stated
• Late payments may incur interest charges and/or suspension of services
• You are responsible for all taxes associated with your purchase
• We reserve the right to modify our pricing with reasonable notice

10. Confidentiality

10.1 Our Commitment

We recognize that in the course of providing our Services, we may have access to confidential or proprietary information about your business. We commit to maintaining the confidentiality of such information in accordance with our separate confidentiality agreements and applicable law.

10.2 Your Commitment

You agree to keep confidential any proprietary methodologies, tools, frameworks, or other confidential information we share with you during our engagement.

11. Disclaimers and Limitations of Liability

11.1 No Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our Services will be uninterrupted, secure, or error-free
• The results obtained from our Services will be accurate or reliable
• Any errors or defects will be corrected
• Our Services will meet your specific requirements

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALIGNED STRATEGY PARTNERS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11.3 Mobile-Specific Liability Limitations

IN ADDITION TO OTHER LIMITATIONS IN THESE TERMS:

• We are not liable for data loss, corruption, or transmission errors that occur during app use
• We are not liable for device damage, battery drain, or performance issues
• We are not liable for charges incurred from your wireless carrier for data usage
• We are not liable for issues arising from operating system updates or device incompatibility
• We are not liable for loss of data if you uninstall the app without backing up your information

11.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Aligned Strategy Partners, LLC and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any content you submit or transmit through our Services

• Extended periods of inactivity

16.3 Effect of Termination

Upon termination:

• Your right to access and use our Services will immediately cease
• We may delete your account and data, subject to our retention obligations
• Sections of these Terms that by their nature should survive will remain in effect

17. Dispute Resolution

17.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

17.3 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or your use of our Services shall be brought exclusively in the state or federal courts located in Maury County, Tennessee. You consent to the personal jurisdiction of these courts and waive any objection to venue.

17.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements, constitute the entire agreement between you and Aligned Strategy Partners, LLC regarding your use of our Services.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. No waiver will be effective unless in writing and signed by an authorized representative of Aligned Strategy Partners, LLC.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

18.6 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

18.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
