Terms of Service
Effective Date: January 15, 2026 Last Updated: August 1, 2026 Version: 2.0
IMPORTANT — READ CAREFULLY
These Terms of Service ("Terms") form a binding legal contract between you and Aligned Strategy Partners, LLC, a Tennessee limited liability company doing business as RoadmapIQ ("Company," "we," "us," or "our"), governing your access to and use of the website alignwithsp.com and any subdomain (the "Site"), the RoadmapIQ™ software-as-a-service product (the "Service"), and related coaching, consulting, and training services ("Services" when referred to collectively with the Service).
Section 17 contains a binding arbitration agreement and a class-action waiver. By accepting these Terms, you are agreeing to resolve disputes with us through individual arbitration and waiving the right to participate in a class action, except as described in Section 17.
By creating an account, clicking "I agree," accessing the Site, or using the Service, you accept and agree to be bound by these Terms and by our Privacy Policy and our Acceptable Use Policy, each of which is incorporated by reference. If you do not agree, do not use the Site or Service.

Synonymous with "Customer-Managed Subprocessor" as used in the Privacy Policy.
- "Content" — any text, data, image, prompt, lead record, prospect record, service-offering description, signal annotation, message, or other material submitted to, displayed in, or generated by the Service.

2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and capable of forming a binding contract under applicable law to use the Service. By accepting these Terms, you represent that you meet these requirements.
The Service is intended for use by businesses and business professionals. If you are using the Service on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.
2.2 Account Registration
To use most features of the Service, you must register for an Account and provide accurate, current, and complete information. You are responsible for:
(a) maintaining the confidentiality of your Account credentials; (b) all activity that occurs under your Account; (c) promptly notifying us at support@alignwithsp.com of any unauthorized access or suspected security breach; (d) keeping your registration information accurate and up to date.
We reserve the right to refuse registration, suspend, or terminate any Account at our discretion in accordance with Section 18.
2.3 Super-Admin Accounts and Internal Testing
Certain email addresses are designated as internal super-admin accounts for Company operations and quality assurance. These accounts are not available to external customers and are governed by internal policies rather than by these Terms.
3. Description of the Service
The RoadmapIQ™ is a multi-tenant software-as-a-service product that assists business users with prospect research, lead scoring, outreach-draft generation, daily-action-queue prioritization, optional daily digest emails, and pipeline analytics. The Service uses third-party subprocessors, including Lovable (application hosting and AI gateway), Supabase (database and authentication), Google Gemini (AI model inference via Lovable AI Gateway), Stripe (payment processing), and the Company's transactional email vendor for system mail and Daily Digest delivery. The full list — including the distinction between subprocessors engaged by the Company and Customer-Managed Subprocessors connected by the Customer — is in the Privacy Policy.
The features of the Service may change from time to time. We will notify you of material changes that reduce core functionality. Additional features may be introduced with or without notice.
4. Subscriptions, Trials, Billing, and Refunds
4.1 Subscription Plans
The Service is offered through one or more Subscription plans described on the Site. By purchasing a Subscription, you agree to the price, billing cycle, and included features stated at the time of purchase.
4.2 Free Trial, Pilot Access, and Promotional Pricing
We may offer a free trial, pilot access, or promotional pricing. Unless otherwise stated:
(a) trials convert to paid Subscriptions at the end of the trial period unless you cancel before the trial ends; (b) Pilot Program access is governed by a separate Pilot Agreement and is time-limited; (c) promotional pricing applies only for the period specified and will revert to standard pricing afterward.
4.3 Billing
Subscription fees are charged in advance and are non-refundable except as expressly stated in Section 4.5 or as required by applicable law. By providing payment information, you authorize us and our payment processor (Stripe) to charge the applicable fees to your payment method on the recurring cycle you selected.
You are responsible for all taxes associated with your Subscription (other than taxes based on the Company's net income).
4.4 Price Changes
We may change Subscription prices upon at least 30 days' prior notice by email. Price changes apply at the start of the next renewal period. If you do not agree to a price change, you may cancel before the change takes effect.
4.5 Refunds
Except as required by applicable consumer-protection law (including, for Canadian residents, the Consumer Protection Act of their province of residence), Subscription fees are non-refundable. We may, at our discretion, offer partial refunds or credits in cases of service-level failure or material defect. Refund requests must be submitted to support@alignwithsp.com within 30 days of the disputed charge.
4.6 Cancellation
You may cancel your Subscription at any time through the in-app Customer Portal (powered by Stripe) or by emailing support@alignwithsp.com. Cancellation takes effect at the end of the current Subscription Period; you retain access through that date.
4.7 Failed Payments and Suspension
If a payment fails, we will attempt to retry and will notify you by email. If payment is not resolved within 14 days, we may suspend or terminate your Account. Suspension does not relieve you of accrued fees.
5. Your License to Use the Service
Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your Subscription Period solely for your internal business purposes.
You may not:
(a) copy, modify, or create derivative works of the Service; (b) reverse-engineer, decompile, or disassemble the Service, except to the extent such restriction is prohibited by applicable law; (c) resell, rent, lease, sublicense, or otherwise commercially exploit the Service; (d) access or use the Service to build a competitive product or service; (e) use automated means (bots, scrapers, crawlers) to access the Service other than through documented and sanctioned APIs; (f) remove or alter any copyright, trademark, or other proprietary notices; (g) bypass or circumvent any access controls, rate limits, usage caps, daily token meters, or daily action quotas; (h) attempt to read, modify, or interfere with another customer's tenant data, organization context, or billing state.
6. Customer Content and Ownership
6.1 Ownership of Customer Content
You retain all rights in and to the Customer Content you submit to the Service, including your Rules of Engagement configuration. Nothing in these Terms transfers ownership of your Customer Content to the Company.
6.2 License to Operate
You grant the Company a worldwide, non-exclusive, royalty-free license to access, process, transmit, copy, display, and otherwise use Customer Content solely as necessary to provide and operate the Service, including (i) routing Customer Content to subprocessors identified in the Privacy Policy, (ii) generating Daily Action Queues and (where opted-in) Daily Digest emails, and (iii) routing Customer Content to Customer-Managed Subprocessors using credentials you have provided.
6.3 Responsibility for Customer Content
You are solely responsible for Customer Content and for ensuring that:
(a) you have the legal right to submit the Customer Content to the Service; (b) the Customer Content does not infringe any third party's intellectual-property, privacy, publicity, or other rights; (c) the Customer Content complies with these Terms and the Acceptable Use Policy; (d) the Customer Content does not contain malicious code or content; (e) any personal information about Prospects was obtained lawfully and may lawfully be processed by the Service; (f) you will comply with all applicable anti-spam and privacy laws (including CAN-SPAM, CASL, TCPA, PIPEDA, CCPA, and GDPR if applicable) in connection with any outbound communications generated using the Service.
6.4 Aggregated and De-Identified Data
The Company may generate de-identified or aggregated data derived from Customer Content and usage data. Such aggregated data does not identify you or any individual and may be used by the Company for any lawful business purpose, including Service improvement and analytics.
7. AI Outputs — Important Disclosures and Allocation of Rights
7.1 Advisory Only
AI Outputs generated by the Service are advisory only. They may contain inaccuracies, fabrications, biased content, or factual errors. You are solely responsible for reviewing, verifying, and editing every AI Output before using it for any business purpose, including outbound communication, decision-making, external publication, or commercial transaction.
7.2 No Professional Advice
AI Outputs do not constitute legal advice, financial advice, medical advice, tax advice, or any other professional advice. You should consult a qualified professional licensed in your jurisdiction for matters requiring such advice.
7.3 Ownership and Attribution
As between you and the Company, you own the AI Outputs generated from your Customer Content, subject to:
(a) the Company's underlying ownership of the Service, the models' weights (which belong to the model providers), the prompt templates, the Rules-of-Engagement system-prompt scaffolding, and any content the Company creates independently; (b) the rights of subprocessors as stated in their applicable terms (see Privacy Policy); and (c) these Terms, including the license grant in Section 6.2.
You may use AI Outputs for lawful business purposes consistent with these Terms. You may not represent AI Outputs as having been produced solely by a human, and you should consider disclosing AI assistance where required by law, professional ethics rules, or industry practice.
7.4 No Representation of Accuracy
The Company makes no representation or warranty regarding the accuracy, completeness, usefulness, or reliability of AI Outputs. See Section 14 (Disclaimer of Warranties) for further detail.
7.5 Vendor Model Terms
AI inference is routed through the Lovable AI Gateway to Google Gemini models (currently gemini-2.5-flash and successor model versions). Use of the AI features of the Service is subject to the underlying vendor terms, including Google Cloud's applicable Service Specific Terms. We rely on vendor commitments not to use commercial API inputs or outputs to train general-purpose models, but these commitments are vendor obligations that may change and that we cannot unilaterally guarantee.
7.6 Per-Organization AI Token Meter
The Service enforces a per-organization daily and monthly cap on AI token consumption. Caps are set at the Subscription tier and are designed to prevent runaway cost from looping prompts, automation errors, or abuse. When a cap is reached, AI features will degrade gracefully (the Daily Action Queue will continue, but new AI generations will be paused until the next cap window). You may request a temporary cap increase by emailing support@alignwithsp.com; the Company may approve, deny, or condition any such request at its discretion.
8. Acceptable Use
You agree that you will not, and will not permit any person using your Account to:
(a) violate any applicable law or regulation, including anti-spam law (CAN-SPAM, CASL, TCPA), consumer-protection law, privacy law (CCPA, PIPEDA, GDPR where applicable), intellectual-property law, or export-control law; (b) send unsolicited commercial messages in violation of CAN-SPAM, CASL, or TCPA; (c) harass, threaten, defame, or impersonate any person; (d) submit Content that is unlawful, harmful, fraudulent, deceptive, obscene, or hateful; (e) submit Content you do not have the legal right to submit; (f) submit "sensitive personal information" (as defined in the Privacy Policy) except in the ordinary course of business use contemplated by the Service; (g) attempt to gain unauthorized access to any account, system, tenant, or data; (h) interfere with or disrupt the Service or the subprocessors that deliver it; (i) use the Service to train a competing AI model or to extract training data for any purpose; (j) resell access to the Service or lease your Account to a third party; (k) use the Service to generate, facilitate, or promote the creation of disinformation, spam, phishing, or malicious content; (l) use the Service to target or research individuals in a manner that violates their privacy rights; (m) attempt to extract the Company's prompt templates, model configurations, Rules-of-Engagement scaffolding, or other proprietary implementation details; (n) attempt to inject instructions into AI inputs (whether your own or third-party) intended to override the Service's safety, billing, multi-tenant, or operational constraints (commonly known as "prompt injection"); (o) use the Service in jurisdictions where it would violate local law or where local law would impose requirements the Company has not undertaken.
This Section 8 is supplemented by the Acceptable Use Policy, which may be updated from time to time and is incorporated by reference.
9. Outbound Communications, Connected Third-Party Services, and Platform Engagement
9.1 Customer is the Legal Sender
The Customer is the legal sender of record for all outbound email, SMS, and voice communications sent through the Service. The Customer:
- Owns the sending domain, phone numbers, and any A2P 10DLC brand/campaign registrations used for outbound communications
- Connects the Customer's own outbound delivery account (currently HighLevel / LeadConnector) to the Service via API credentials the Customer provides
- Is the entity in whose name communications are transmitted to recipients
- Is solely responsible for compliance with all applicable laws, regulations, and platform terms of service governing outbound electronic communications, including without limitation:
- The U.S. CAN-SPAM Act of 2003 (15 U.S.C. §7701 et seq.) and FTC implementing regulations
- Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23) and CRTC interpretive guidance
- The U.S. Telephone Consumer Protection Act (47 U.S.C. §227) and FCC regulations
- The EU General Data Protection Regulation, Article 6 lawful-basis requirements
- The California Consumer Privacy Act and any state-level privacy laws applicable to the Customer's recipients
- HighLevel's (or any other connected outbound provider's) Terms of Service and Acceptable Use Policy
- A2P 10DLC carrier registration requirements for SMS in the United States
- Is responsible for obtaining and maintaining recipient consent appropriate to the jurisdiction and channel
- Is responsible for honoring opt-out, unsubscribe, and do-not-contact requests in compliance with applicable law (within 10 business days under CAN-SPAM, without undue delay under CASL)
- Is responsible for maintaining records evidencing consent where applicable
- Will indemnify and hold harmless the Company from any claim, fine, or proceeding arising from the Customer's outbound communications (see Section 13)
9.2 Company's Limited Role
The Company's role in outbound communications is limited to:
- Generating draft message content via AI
- Generating the Daily Action Queue and (where the Customer has opted in) the Daily Digest email
- Routing the Customer's instruction to send to the Customer's connected outbound provider
- Recording delivery metadata (sent / delivered / bounced / replied) for the Customer's reference
The Company does not:
- Send outbound prospect-facing communications from any domain, phone number, or platform account owned by the Company
- Maintain a master list of recipients across customers
- Pool customer outbound traffic through any shared delivery infrastructure
- Act as a "covered email service provider" or equivalent under any law that imposes intermediary liability
The sole exception is the Daily Digest email (Section 9.4) and system / transactional mail (account confirmations, billing notices, security alerts), which the Company sends from a Company-owned subdomain to the Customer's designated email address — not to Prospects.
9.3 LinkedIn and Other Platform Engagement via AI-Enabled Browsers
The Service may generate suggested actions for the Customer to take on third-party platforms (including but not limited to LinkedIn) such as connection requests, comments, profile views, and direct messages. The Customer may choose to execute those actions using AI-Enabled Browsers (Comet by Perplexity, Claude in Chrome, or similar tools) operating under the Customer's own account on the third-party platform.
The Customer acknowledges and agrees that:
- The Customer is solely responsible for compliance with each third-party platform's Terms of Service and User Agreement, including any restrictions on automated access. Specifically, LinkedIn's User Agreement Section 8.2 prohibits automated access without LinkedIn's permission. The Customer is responsible for evaluating their use of any automation tool against this restriction.
- The Service generates suggestions for actions; it does not execute any action on a third-party platform. Execution occurs through the AI-Enabled Browser running on the Customer's machine under the Customer's account.
- The Service includes default daily volume guardrails for suggested actions on third-party platforms, designed to keep activity below commonly-cited automation safety thresholds. These guardrails are advisory and do not guarantee compliance with any third-party platform's TOS.
- If the Customer's third-party platform account is restricted, suspended, or terminated as a result of activity executed by the Customer (whether through an AI-Enabled Browser or otherwise), the Company has no liability for such action and is not obligated to provide remediation, account recovery assistance, or refund.
- The Customer represents and warrants that the Customer's use of AI-Enabled Browsers in conjunction with the Service does not violate any applicable law or third-party agreement.
9.4 Daily Digest Emails (Opt-In)
The Daily Digest is an optional, opt-in email feature. The Customer may opt in or out at any time through the in-app preferences page or via the one-click unsubscribe link in any digest email.
The Customer acknowledges and agrees that:
- Recipient is the Customer. The Daily Digest is sent only to the Customer's designated email address(es) — not to Prospects or other third parties. The Company is the legal sender of the Daily Digest email itself.
- Double opt-in. New digest subscriptions require the Customer to confirm via a confirmation email before any digest is sent.
- One-click unsubscribe. Each digest contains an RFC 8058–compliant one-click List-Unsubscribe header and a visible unsubscribe link in the body.
- Sender domain isolation. The Daily Digest is sent from a dedicated Company-owned subdomain (currently
digest.alignwithsp.com) configured with SPF, DKIM, and DMARCp=quarantineto protect deliverability of the Company's transactional mail. - Engagement tracking. The Company tracks open and click events on the Daily Digest for the Customer's benefit (showing which suggested actions the Customer engaged with) and for sender-reputation hygiene. See the Privacy Policy for retention.
- Tier-based content. Digest content varies by Subscription tier as described on the pricing page; the Company may adjust digest content templates from time to time.
- AI-generated content. Digest content is AI Output and is subject to the disclosures in Section 7. The Customer should review any digest content before acting on it.
- Suspension for sender-reputation reasons. If complaint or bounce metrics exceed industry-standard thresholds (currently a 0.30% rolling 30-day complaint rate per Gmail/Yahoo bulk-sender requirements), the Company may suspend Daily Digest delivery to specific recipients or the Customer's organization. The Daily Action Queue remains available in-app regardless of digest suspension.
10. Intellectual Property — Company Rights
The Service, the Site, the Company's prompt templates, Rules-of-Engagement system-prompt scaffolding, internal documentation, UI designs, trademarks (including "RoadmapIQ™" and "Aligned Strategy Partners" and associated logos), copyrights, trade secrets, and all other intellectual-property rights are and remain the exclusive property of the Company or its licensors. Nothing in these Terms grants you any right in or to the foregoing except the limited license in Section 5.
Any feedback, suggestions, or ideas you submit about the Service may be used by the Company without obligation, and you hereby grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use and commercialize such feedback.
11. Third-Party Services, Integrations, and Customer-Provided Connections
11.1 Third-Party Services Generally
The Service integrates with or depends on third-party services (including those identified in the Privacy Policy). Your use of third-party services is governed by the applicable third-party terms. The Company is not responsible for the availability, accuracy, security, or conduct of third-party services and disclaims liability for any loss arising from them.
If a third-party service materially changes its terms, reduces its availability, or becomes unavailable to the Company, the Company may be required to change or discontinue the features that depend on that third party, with reasonable notice.
11.2 Customer-Provided Integrations (Connected Third-Party Services)
The Service requires the Customer to connect certain Connected Third-Party Services to function fully (currently: HighLevel for outbound delivery). The Customer:
- Represents and warrants that the Customer is authorized to connect each such Connected Third-Party Service and to grant the Service access to data within it
- Is responsible for maintaining a valid subscription and good standing with each Connected Third-Party Service
- Will revoke the Service's access to the Connected Third-Party Service through the Customer's own credentials before, or contemporaneously with, terminating the Customer's account with the Company
- Acknowledges that termination of the Connected Third-Party Service (by the Customer, by the third-party provider, or otherwise) may result in degraded or unavailable Service functionality, for which the Company has no liability
- Acknowledges that the data the Customer brings into or sends through the Connected Third-Party Service is governed by that service's own privacy policy and terms of service in addition to this Agreement and the Company's Privacy Policy
- Acknowledges that the Customer's API credentials are stored encrypted-at-rest by the Service and are accessed only by the Service's privileged edge functions, and that the Company is not liable for harm arising from the Customer's compromise of those credentials at the source
11.3 Service Availability — Carve-Out for Customer-Managed Dependencies
The Service depends on the Customer's properly-configured Connected Third-Party Services (currently: HighLevel) and on the Customer's chosen AI-Enabled Browser tools (if any). Service unavailability, degraded performance, or feature failures arising from any of the following are excluded from any uptime calculation or service-level commitment:
- Outage, rate limiting, or change in API behavior by a Customer-connected third-party service
- Revocation, expiration, or invalidation of Customer-provided third-party credentials
- Restriction, suspension, or termination of the Customer's account with a third-party platform (including LinkedIn)
- Outage, capacity limit, or change in service of the Customer's chosen AI-Enabled Browser tool
- Customer error in configuration of any of the foregoing
- Outage or rate limiting of the Lovable AI Gateway or the underlying Google Gemini API
12. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy (incorporated by reference). You represent and warrant that your submission of Customer Content, including any Prospect data, complies with applicable privacy law and that you have the legal right to provide that Content for processing by the Service.
For Customer Content that includes personal information of individuals in the EU, UK, or other jurisdictions requiring a Data Processing Agreement ("DPA"), you may request a DPA by contacting support@alignwithsp.com. The Company's standard DPA will be provided where appropriate.
13. Indemnification
13.1 By You
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and subprocessors ("Indemnified Parties") from and against any claim, demand, action, regulatory investigation, loss, liability, damage, judgment, settlement, cost, or expense (including reasonable attorneys' fees and costs) ("Claim") arising out of or relating to:
(a) your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law; (b) your Customer Content, including any Prospect data and any Rules of Engagement configuration; (c) your outbound communications, including alleged anti-spam, telemarketing, or privacy-law violations; (d) your infringement or misappropriation of any third-party right; (e) your breach of any representation or warranty in these Terms.
Without limiting the foregoing, the Customer specifically agrees to indemnify, defend, and hold harmless the Company from and against any Claim arising out of or relating to:
- Outbound electronic communications sent by, on behalf of, or attributable to the Customer through the Service or any Connected Third-Party Service, including without limitation claims under the CAN-SPAM Act, CASL, TCPA, GDPR, A2P 10DLC carrier registration requirements, or any other applicable law
- AI-Enabled Browser and platform engagement — the Customer's use of an AI-Enabled Browser or other automation tool in conjunction with the Service to interact with any third-party platform, including without limitation claims by such platform of breach of its Terms of Service, account-restriction disputes, or scraping allegations
- Recipient consent failures, opt-out non-compliance, do-not-contact list violations, or failure to honor data-subject rights
- Connected Third-Party Service credentials — the Customer's use, configuration, or compromise of the Customer's Connected Third-Party Service credentials (e.g., HighLevel API key), or the Customer's failure to revoke access upon Account termination
The Company reserves the right to assume the exclusive defense of any matter subject to indemnification at your expense; you agree to cooperate reasonably in any such defense. You shall not settle any claim without the Company's prior written consent.
13.2 By the Company (Limited)
Subject to the limitations in Section 15, the Company will defend you against a third-party claim alleging that your authorized use of the Service infringes that third party's intellectual-property right, and will pay the resulting damages awarded against you, provided that:
(a) you notify the Company promptly in writing of the claim; (b) you give the Company sole control of the defense and settlement; (c) you cooperate reasonably at the Company's expense.
If the Service becomes, or in the Company's reasonable opinion may become, the subject of an infringement claim, the Company may at its option and at no cost to you: (i) procure the right for you to continue using the Service; (ii) modify the Service to make it non-infringing; or (iii) terminate these Terms and refund any prepaid Subscription fees for the unused portion of the then-current Subscription Period. The foregoing is the Company's sole obligation and your sole remedy for infringement claims.
13.3 Exclusions
The Company's indemnification obligations do not apply to claims arising from: (i) Customer Content; (ii) your modification, combination, or use of the Service other than as permitted; (iii) your use of the Service after the Company has notified you to stop due to an infringement claim; (iv) open-source components governed by their own licenses; (v) Connected Third-Party Services or AI-Enabled Browsers; or (vi) any claim to the extent caused by your negligence, willful misconduct, or breach of these Terms.
14. Disclaimer of Warranties
THE SERVICE, THE SITE, ALL AI OUTPUTS, AND ALL DAILY DIGEST CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, the Company disclaims all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
The Company does not warrant that:
(a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) AI Outputs (including Daily Action Queue and Daily Digest content) will be accurate, complete, or free of bias; (d) any defects in the Service will be corrected; (e) the Service will be compatible with any particular hardware, software, AI-Enabled Browser, or third-party service; or (f) Connected Third-Party Services or AI-Enabled Browsers will continue to function with the Service as they do today.
Some jurisdictions do not allow the exclusion of certain warranties; to that extent, the exclusions above may not apply to you, and you may have additional rights under local law.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
15.1 Exclusion of Indirect Damages
In no event will the Company or its subprocessors be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, loss of business opportunity, restriction or termination of any third-party platform account, or substitute-goods cost, arising out of or related to these Terms, the Service, the Site, any AI Output, the Daily Digest, any Connected Third-Party Service, or any AI-Enabled Browser, whether in contract, tort (including negligence), strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages.
15.2 Cap on Direct Damages
The Company's total cumulative liability to you arising out of or related to these Terms, the Service, the Site, any AI Output, the Daily Digest, any Connected Third-Party Service, or any AI-Enabled Browser, under any legal theory, will not exceed the greater of (a) the total amount you paid to the Company in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00 USD).
15.3 Essential Purpose
The limitations in this Section 15 apply even if any limited remedy in these Terms fails of its essential purpose.
15.4 Jurisdictional Exceptions
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages (including death, personal injury, fraud, or gross negligence in some Canadian provinces). To the extent such law applies to you, the limitations above apply only to the maximum extent permitted.
16. Term, Suspension, and Termination
16.1 Term
These Terms take effect when you first accept them and continue until terminated as provided below.
16.2 Termination by You
You may terminate these Terms by canceling your Subscription (Section 4.6) and deleting your Account. You are responsible for revoking your Connected Third-Party Service credentials (e.g., disconnecting the Service from your HighLevel account) before or contemporaneously with termination.
16.3 Termination or Suspension by the Company
The Company may suspend or terminate your Account or these Terms:
(a) immediately, for your material breach of these Terms, the Acceptable Use Policy, or applicable law; (b) immediately, if your use of the Service poses a security, privacy, deliverability, or legal risk to the Company, to other users, or to the subprocessors that deliver the Service; (c) immediately, if required by law or subpoena; (d) immediately, if Daily Digest sender-reputation metrics for your organization exceed industry-standard thresholds (Section 9.4); (e) upon 30 days' notice, for discontinuation of the Service or a material feature; (f) upon non-payment as described in Section 4.7.
16.4 Effect of Termination
Upon termination:
(a) your license to access the Service ends; (b) we will make Customer Content available for export for 30 days after termination, after which we will delete it in accordance with the retention schedule in the Privacy Policy; (c) fees paid in advance are non-refundable except as required by law; (d) Connected Third-Party Service credentials stored by the Service are securely deleted (note: this does not affect the Customer's data residing within the Connected Third-Party Service tenant itself, which remains under the Customer's control); (e) provisions of these Terms that by their nature should survive (including Sections 6.3, 6.4, 7, 8, 9, 10, 11.2, 13, 14, 15, 17, 18, and 19) will survive termination.
17. Dispute Resolution — Arbitration Agreement and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
17.1 Informal Resolution First
Before initiating any formal proceeding, you agree to contact the Company at support@alignwithsp.com with a written description of the dispute and your desired resolution, and to allow the Company 30 days to attempt to resolve the dispute informally. This requirement may be waived by the Company in writing.
17.2 Binding Arbitration (US Users)
If you are located in the United States and the dispute cannot be resolved informally, you and the Company each agree that the dispute will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (or, at the Company's option and for claims under US$25,000, the JAMS Consumer Minimum Standards) in effect at the time arbitration is initiated. The seat of arbitration will be Tennessee unless the parties agree otherwise. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
Small-claims exception: Either party may bring a qualifying claim in small-claims court instead of arbitration.
Intellectual-property and injunctive relief: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual-property or confidentiality rights.
Opt-out: You may opt out of the arbitration agreement in this Section 17.2 by emailing support@alignwithsp.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. The opt-out email must include your name, email address, and a clear statement that you are opting out. Opting out does not affect any other provision of these Terms.
17.3 Class-Action Waiver
To the maximum extent permitted by applicable law, you and the Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. If this class-action waiver is found unenforceable, the entirety of Section 17.2 (arbitration) is null as to that specific claim, and the claim must instead be brought in court.
17.4 Canadian Users
If you are a resident of Canada, Section 17.2 (arbitration) and Section 17.3 (class-action waiver) apply only to the extent enforceable under applicable provincial law. In provinces where consumer-protection legislation prohibits pre-dispute arbitration agreements or class-action waivers in consumer contracts (including Quebec and Ontario for certain disputes), those provisions do not apply, and disputes may be brought in the courts of your province of residence or, at your option, in the courts of Tennessee. Canadian users retain all mandatory rights under applicable federal and provincial law.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-laws principles, except that any mandatory consumer-protection law of your jurisdiction applies to the extent it provides rights that cannot be waived by contract.
For any dispute not subject to arbitration under Section 17, the parties consent to the exclusive jurisdiction of the state and federal courts located in Williamson County, Tennessee.
